Agreement Parties

Platform Operator: Pure Expertz LLC, an Illinois limited liability company ("Pure Expertz" or "Company"), andy.babala@pureexpertz.com, (847) 991-9985, pureexpertz.com

Independent Consultant: The individual or entity executing this Agreement ("Consultant"), whose information is provided in the application form below.

Recitals

Pure Expertz operates an AI education, business consultancy, and community-building ecosystem under the AI Impact Academy, Block-by-Block AI Safety and Security Alliance, and affiliated programs.

The Company desires to engage qualified independent consultants to deliver education programs, refer participants, build cohorts, and expand the ecosystem.

Consultant desires to operate an independent practice using Pure Expertz curriculum, platform, brand, and commission structure under the terms set forth herein.

Section 01 — Term and Monthly Renewal

This Agreement commences on the date of execution and continues on a month-to-month basis. Either Party may terminate this Agreement with thirty (30) days written notice.

Monthly access fees are non-refundable once the billing cycle has commenced.

Termination does not affect commissions earned on active subscriptions prior to the termination date, which shall continue to be paid in accordance with Section 05 until such subscriptions lapse or are transferred.

Monthly License Fee: $297.00 USD, billed on the same calendar date each month. The first payment activates the Consultant's GoHighLevel CRM sub-account, curriculum access, and commission tracking.

Section 02 — Independent Contractor Relationship

Consultant is an independent contractor, not an employee, agent, partner, or joint venturer of Pure Expertz. Consultant has no authority to bind Pure Expertz to any agreement, representation, or commitment without express written authorization.

Consultant is solely responsible for all federal, state, and local taxes on income earned under this Agreement.

Consultant must maintain a valid LLC or equivalent business entity and a valid EIN prior to commission structure activation.

Nothing in this Agreement shall be construed to create an employment relationship, franchise relationship, or partnership.

Section 03 — Scope of Services

3.1 Authorized Activities. Consultant is authorized to provide the following services under this Agreement:

• AI Education Programs — Deliver four-week cohort programs, certification tracks (AI Champion, AI Director, AI Consultant), and AI Academy onboarding using Pure Expertz curriculum. Cohorts capped at 15 participants.
• Business Consultancy — Minimum 3-month retainer engagements including AI system installation, GoHighLevel CRM configuration, policy analysis, and staff training.
• Referral Activity — Introduce qualified prospects to AI Academy memberships, IC licenses, TSP community memberships, cohort enrollments, and Business in a Box programs.
• Cohort Creation — Recruit, assemble, and lead independent cohorts. Consultant earns 70% of gross cohort revenue on independently led cohorts.
• Investment Strategy Conversations — For accredited and sophisticated investors only. Advisory fee of 2% on facilitated deals. Informational and networking activity only; does not constitute investment advice. Consultant must comply with all applicable securities laws.
• Community Expansion — Build and maintain relationships with Chambers of Commerce, professional associations, networking groups, and business organizations.

3.2 Unauthorized Activities. Consultant may NOT: misrepresent Pure Expertz products or programs; make income guarantees or investment promises; use Pure Expertz branding outside scope; solicit Pure Expertz clients for competing services; represent Pure Expertz in legal/regulatory matters without written authorization.

3.3 Brokering Qualification Gates. To protect the integrity of high-trust transactions and the Pure Expertz brand, certain brokering activities require Consultant to first complete defined milestones in the network. Three tiers apply:

Tier 1 — Available from Day 1: AI Academy Subscription referrals; Trusted Service Provider community referrals; Cohort enrollment referrals; Independently delivered cohort hosting; Consultancy project delivery; Hub or Geographic Chapter participation.

Tier 2 — Available after completion of full 3-month onboarding training and continuous ecosystem learning (Open Office Hours attendance Tue/Wed/Thu 2–4 PM CT, prerequisite reading, monthly pipeline reports): Business in a Box / Community in a Box brokering; Mastermind enrollment brokering; Advisory practice services brokering; AI arbitrage practice services brokering. The AB Mastermind 70/30 Joint Venture is technically permitted earlier in Pure Expertz's discretion but is not recommended; Consultant is encouraged to focus on Tier 1 activities first.

Tier 3 — Available after 6 months in active network membership AND Tier 2 qualification: Independent Consultant License Referrals (recruiting new ICs into the network).

Discretionary unlock. Pure Expertz LLC reserves the right, in its sole discretion, to authorize earlier access to specific Tier 2 or Tier 3 activities for individual Consultants who demonstrate qualifying experience or who are designated as Block-by-Block AI Safety & Security Alliance Ambassador candidates.

Junior introduces, Senior closes. When a Consultant in Tier 1 introduces a prospect for a Tier 2 or Tier 3 product/service, and the close is delivered by a qualified senior Consultant or by Pure Expertz LLC directly, commissions split: 30% to the introducing Consultant; 70% to the closing party.

Updates apply across the network. When the IC Agreement or compensation structure is updated, changes apply to all active Consultants upon deployment. No grandfathering.

Section 04 — Platform, Attendance & Accountability

4.1 GoHighLevel CRM (Required). A GHL sub-account is provided. Consultant must use GHL for all leads, clients, commissions, and communications. CRM usage non-negotiable above the $2,995 consultancy tier.

4.2 Weekly Session Participation. Tuesday, Wednesday, Thursday Open Office Hours 2–4 PM CT (or recorded equivalent).

4.3 The 30-Day Rule. Consultants not active within 30 calendar days of onboarding are removed from priority referral flow without notice. Activity = at least one of: OOH session participation, GHL CRM entry, OR documented referral conversation.

4.4 Monthly Reporting. Brief monthly pipeline report by the 5th of the following month.

4.5 Quarterly Reviews. One diagnostic review per quarter with Andy Babala or designated senior consultant.

4.6 Prerequisite Books. Read and be prepared to discuss: Principles (Ray Dalio) · The Holy Grail of Investing (Tony Robbins) · Abundance (Peter Diamandis) · The Snowball (Alice Schroeder) · No B.S. Time Management for Entrepreneurs (Dan S. Kennedy).

Section 05 — Commission Structure

All commissions calculated on collected revenue, paid within 15 business days following month close. Tracked through GoHighLevel. Chargebacks/refunds deducted from future commissions.

AI Academy Subscription ($97/mo): 40% · IC License Referral ($297/mo): 40% · TSP Community ($47/mo): 40% · Cohort Enrollment ($2,495/person): 30% · Business in a Box ($4,995): 30% · Consultancy Project ($2,995): 20% · Independently Delivered Cohort: 70% of gross · Investment Advisory Fees: 2% of deal value · Alliance / Power Partner ($10K+): negotiated.

Psychological Pricing Standard: All products above $1,000 are priced at $X,995.

Section 06 — Milestone Structure & Incentive Trip

Bronze ($3K–$6K): 5 subscribers, 1 project, 1 forum. Silver ($15K–$22K): 25 subscribers, 3 projects, 1 cohort. Gold ($30K+): 50+ subscribers, 5+ projects, 2 cohorts, qualifies for annual incentive trip + 2 guests (Thailand January 2027, Philippines December 2026, Poland September 2026).

Section 07 — Brand Use & Intellectual Property

Pure Expertz grants Consultant a limited, non-exclusive, non-transferable license to use Pure Expertz branding, curriculum, and materials solely in connection with authorized activities. All curriculum, frameworks, and content remain the exclusive intellectual property of Pure Expertz LLC. Consultant may not register domain names, social handles, or business names using Pure Expertz name without prior written consent.

Section 08 — Confidentiality

Consultant agrees to hold in strict confidence all non-public information including commission structures, internal pricing, client lists, strategic partnerships, program economics, and revenue sharing. Confidentiality obligations survive termination for three (3) years.

Section 09 — Non-Solicitation

During the term and for twelve (12) months following termination, Consultant agrees not to: directly solicit Pure Expertz clients or subscribers for competing services; recruit Pure Expertz consultants or staff to competing ventures; use confidential information for competitive purposes.

Section 10 — Block-by-Block Alliance Compliance

All activities under this Agreement must adhere to Block-by-Block AI Safety and Security Alliance standards: AI used legally, ethically, with integrity; education before deployment; community accountability; financial transparency.

Violation of Alliance standards is grounds for immediate termination of this Agreement without notice.

Section 11 — Limitation of Liability & Disclaimer

PURE EXPERTZ LLC MAKES NO GUARANTEE OF INCOME, EARNINGS, OR BUSINESS SUCCESS UNDER THIS AGREEMENT. Income projections are illustrative estimates, not guarantees. Pure Expertz total liability shall not exceed monthly license fees paid in the three (3) months preceding the claim. Investment discussions are informational only and do not constitute investment advice.

Section 12 — Governing Law & Dispute Resolution

Governed by the laws of the State of Illinois. Disputes shall first be submitted to good-faith mediation in Cook County, Illinois. If mediation fails, disputes resolved through binding arbitration in Cook County, Illinois under American Arbitration Association rules.

Section 13 — Entire Agreement & Amendments

This Agreement constitutes the entire agreement between the Parties. May be amended only by written consent signed by both Parties. Pure Expertz reserves the right to update commission rates, pricing, and platform terms with 30 days written notice.
